Welcome to Globeriz Inc. ("Company", "Globeriz", "we", "us", "our"), a technology company specializing in advanced image editing solutions. These Terms and Conditions ("Terms", "Agreement") along with our Refund Policy (available at https://trymodify.com/refund), being an integral part of these Terms, apply to all users and others ("Users", "you", "your", as applicable) who download, install, register with, access or use ("Use", "Using") our mobile application Modify ("Modify", "app", "application", "Service").

These Terms are a binding contract between you and us. You are accepting and agreeing to these Terms on your behalf or on behalf of the person or entity that you represent. If you are Using Modify on behalf of another person or entity, you represent that you are authorized to accept these Terms on that person's or entity's behalf and that such person or entity agrees to be responsible to us if you or the other person or entity violates these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, INCLUDING THE MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 20 (DISPUTE RESOLUTION; BINDING ARBITRATION), DO NOT USE MODIFY.

Your continued Use of Modify will confirm your acceptance of these Terms.

1. IMPORTANT NOTICES

How Modify Works

Modify is an application-based software that uses advanced technology and algorithms to edit, modify, and transform your photos. The application allows you to:

  • Upload photos from your device
  • Apply text-based prompts for editing
  • Transform and enhance images using sophisticated processing
  • Save and export edited images

We process your images using third-party services as described in our Privacy Policy (https://trymodify.com/privacy).

Key Disclaimers

  • We do NOT use your images to train our models or create separate products
  • We do NOT claim ownership of your content
  • We do NOT guarantee specific results - Image editing is complex and results may vary
  • ALL PURCHASES ARE FINAL AND NON-REFUNDABLE as detailed in our Refund Policy

Service Availability

From time to time and without prior notice, we may change, expand, improve, or discontinue any part of Modify. We may also selectively disable features or cease operations. Your Use does not entitle you to continued provision of any specific features. Any modification or elimination will be at our sole discretion.

2. AGE RESTRICTIONS

General Age Requirements

  • Minimum Age: 13 years old globally
  • EEA/UK: Must be at least 16 years old
  • Purchases: Must be 18+ (or of legal age in jurisdiction where you live, if different) to make purchases

Modify is not intended for or directed at children. We do not knowingly collect information from anyone under the age requirements. If you are under the required age, DO NOT:

  • Use or access Modify
  • Provide any information to us
  • Create an account
  • Make any purchases

Parental Responsibility

If you are a parent or guardian and believe we have collected information from your child who is under the required age, contact us immediately at contact@globeriz.com, and we will delete such information.

Age Verification

By Using Modify, you represent and warrant that:

  • You meet the age requirements (13+ globally, 16+ in EEA/UK)
  • You have the legal capacity to enter into these Terms
  • If acting for an entity, you have authority to bind that entity

3. ACCOUNT REGISTRATION AND SECURITY

Account Creation

To access premium features, you must register an account by:

  • Providing a valid email address and creating a password, OR
  • Using third-party authentication (Google Sign-In or Apple Sign-In)

Account Responsibilities

By creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Update your information as needed to keep it accurate
  • Maintain the confidentiality of your account credentials
  • NOT share your account with others
  • NOT create multiple accounts to abuse free trials or promotions
  • NOT sell, transfer, or sublicense your account
  • Immediately notify us of any unauthorized use or security breach
  • Accept full responsibility for all activities under your account

Account Security

You are entirely responsible for:

  • Maintaining the security of your account
  • All activities that occur under your account
  • Any damages resulting from unauthorized access due to your failure to secure your account

We are not liable for any loss or damage arising from your failure to comply with security obligations.

Third-Party Authentication

If you use Google or Apple Sign-In:

  • You allow us to access your third-party account as permitted
  • Your relationship with these providers is governed by their terms
  • We are not responsible for third-party service issues

4. SUBSCRIPTIONS, CREDITS, AND PURCHASES

Subscription Model

Modify operates on a credit-based system:

  • Subscription Credits: Fixed amount per billing period that RESETS (does not roll over)
  • Purchased Credits: Bought separately and NEVER expire
  • Each image generation consumes credits

Important Subscription Terms

  • Auto-Renewal: Subscriptions automatically renew unless cancelled
  • Credit Reset: Unused subscription credits are FORFEITED at period end
  • No Rollover: Credits do NOT accumulate across billing periods
  • Non-Refundable: ALL charges are FINAL and NON-REFUNDABLE
  • Cancellation: Cancel anytime, but no refunds for partial periods

NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN AND SUBJECT TO MANDATORY LEGISLATION, YOU ACKNOWLEDGE THAT WE ARE NOT REQUIRED TO PROVIDE A REFUND FOR THE PURCHASED CONTENT OR VIRTUAL ITEMS FOR ANY REASON, EXCEPT FOR AS EXPRESSLY STATED IN OUR REFUND POLICY, AND THAT YOU WILL NOT RECEIVE MONEY OR OTHER COMPENSATION FOR THE UNUSED TRIAL PERIOD, UNUSED SUBSCRIPTION PERIOD AND UNUSED PURCHASED CONTENT OR VIRTUAL ITEMS, WHETHER YOUR LOSS WAS VOLUNTARY OR INVOLUNTARY.

Free Trials

  • Available for new users only (one per person, ever)
  • Automatically converts to paid subscription unless cancelled
  • Must cancel at least 24 hours before trial ends
  • IMPORTANT: If you've ever had a trial (even partially), you're permanently ineligible for another

Virtual Items and Credits

  • Credits are virtual items with no cash value
  • Cannot be transferred, traded, or sold
  • Lost if account is terminated for violations
  • We may modify credit costs and features at our discretion
  • You may only purchase credits if you are over 18 years old (or of legal age in jurisdiction where you live, if different)

Pricing and Taxes

  • Prices subject to change with notice
  • Price changes apply at next renewal
  • You're responsible for all applicable taxes
  • Tax rates based on your location and may change

Billing and Payment

  • Payments processed through Apple App Store or Google Play Store
  • Charged at the beginning of each period
  • Payment methods managed through app stores
  • Contact app stores for refund requests (we cannot process refunds)

IMPORTANT NOTICE: Please be kindly informed that we are unable to view, access, or modify any financial transactions from Apple App Store or Google Play Store in-app subscriptions for security and privacy reasons. Instead, we would ask that you reach out to the appropriate support team of Apple App Store or Google Play Store in relation to your subscription or to request any refunds. Please contact the Apple App Store or Google Play Store regarding any refunds or to manage your subscription purchased through them, accordingly.

Cancellation Process

Uninstalling the app does NOT cancel your subscription!

To cancel:

  • iOS: Settings > [Your Name] > Subscriptions > Modify > Cancel
  • Android: Google Play Store > Subscriptions > Modify > Cancel
  • Or: Contact us at contact@globeriz.com for assistance

Promotional Offers

  • May be offered periodically at our discretion
  • Subject to specific terms and restrictions
  • Not combinable unless specified
  • We may withdraw offers at any time

5. USER CONTENT AND CONDUCT

Content Ownership

  • You retain ALL rights to your original images
  • You own the edited images you create
  • We claim NO ownership of your content

License Grant to Us

By uploading content, you grant us a LIMITED license to:

  • Process your images to provide the Service
  • Temporarily store content for processing (deleted within 24 hours)
  • Display content back to you
  • Create technical copies necessary for operation

This license:

  • Is non-exclusive, royalty-free, worldwide
  • Is solely for operating the Service
  • Terminates when content is deleted
  • Does NOT allow us to use your content for marketing
  • Does NOT allow us to share content with unrelated third parties

Prohibited Content

You agree NOT to upload, create, or share content that:

Illegal or Harmful:

  • Violates any laws or regulations
  • Promotes illegal activities
  • Contains malware or harmful code
  • Facilitates fraud or deception

Rights Violations:

  • Infringes intellectual property rights
  • Violates privacy or publicity rights
  • Contains others' personal information without consent
  • Uses others' likeness without permission

Inappropriate Content:

  • Contains nudity or sexually explicit material
  • Depicts minors inappropriately
  • Creates non-consensual intimate images
  • Produces deepfakes to harm or deceive

Harmful to Others:

  • Harasses, threatens, or bullies
  • Promotes violence or self-harm
  • Contains hate speech or discrimination
  • Defames or libels others

Misuse of Service:

  • Attempts to bypass system limitations
  • Uses automated systems or bots
  • Overloads our servers
  • Violates these Terms

Content Representations

You represent and warrant that:

  • You own or have rights to all content you upload
  • Your content doesn't violate anyone's rights
  • You have consent from anyone depicted
  • Your use complies with all laws
  • You will indemnify us for any violations

Our Rights Regarding Content

We reserve the right to:

  • Refuse to process prohibited content
  • Remove content that violates these Terms
  • Report illegal content to authorities
  • Terminate accounts for violations
  • Implement automated content filtering
  • Review content for compliance

No Monitoring Obligation

  • We have no obligation to monitor user content
  • We are not responsible for user content
  • Discovery of violations doesn't create a duty to monitor
  • Users are solely responsible for their content

6. PROHIBITED USES AND ACTIVITIES

You agree NOT to:

Technical Violations

  • Reverse engineer, decompile, or disassemble the app
  • Bypass security features or access restrictions
  • Use automated systems, bots, or scrapers
  • Interfere with or disrupt the Service
  • Attempt unauthorized access to systems
  • Modify, adapt, or hack the app
  • Remove proprietary notices or labels

Commercial Violations

  • Resell or commercially redistribute the Service
  • Use Modify to compete with us
  • Sublicense, rent, or lease access
  • Use for unauthorized commercial purposes
  • Create derivative works

Legal and Ethical Violations

  • Use for illegal or unauthorized purposes
  • Violate any applicable laws
  • Infringe intellectual property rights
  • Violate privacy rights
  • Create fraudulent or misleading content
  • Impersonate others
  • Engage in any harmful activities

Service Abuse

  • Share accounts or credentials
  • Create multiple accounts to abuse trials
  • Circumvent usage limitations
  • Submit false reports or claims
  • Interfere with other users
  • Collect data about other users

7. INTELLECTUAL PROPERTY RIGHTS

Our Property

All elements of Modify except user content, including but not limited to:

  • Software and source code
  • Designs, graphics, and user interfaces
  • Logos, trademarks, and trade names
  • Features and functionality
  • Documentation and content
  • Proprietary algorithms and methods

Are owned by or licensed to Globeriz Inc. and protected by:

  • Copyright laws
  • Trademark laws
  • Trade secret laws
  • Patent laws
  • Other intellectual property rights

Limited License to You

We grant you a LIMITED, non-exclusive, non-transferable, revocable license to:

  • Access and use Modify for personal use
  • Create edited images for lawful purposes

This license does NOT include rights to:

  • Copy, modify, or create derivative works
  • Distribute, sell, or transfer any part of Modify
  • Use our trademarks without permission
  • Access Modify through unauthorized means

Trademark Rights

"Modify" and associated logos are our trademarks. You may not use our marks without prior written permission except for fair use.

Feedback and Suggestions

If you provide feedback, ideas, or suggestions:

  • They become our property
  • We can use them without compensation
  • You waive all rights to them
  • They're treated as non-confidential

8. PRIVACY AND DATA PROTECTION

Privacy Policy

  • What information we collect

  • Data retention and deletion

  • Use of third-party processors (Fal.ai, Supabase, Vercel)
  • Analytics to improve the Service

Modify integrates with:

  • Authentication (Google, Apple)

Third-Party Terms

MODIFY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • TITLE
  • ACCURACY OR RELIABILITY
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • FREEDOM FROM VIRUSES OR HARMFUL COMPONENTS

WE DO NOT GUARANTEE:

  • Specific editing results or quality
  • Availability or uptime
  • Data preservation
  • Error correction
  • Compatibility with all devices
  • Meeting your requirements or expectations

RESULTS DISCLAIMER

  • Image editing involves complex processing
  • Results are unpredictable and may vary
  • We don't control all aspects of output
  • Generated content doesn't represent our views
  • You assume all risk for using edited images

YOUR ASSUMPTION OF RISK

Your use is AT YOUR SOLE RISK. You're responsible for:

  • Evaluating output before use
  • Maintaining backups
  • Ensuring legal compliance
  • Any consequences of use

11. LIMITATION OF LIABILITY

DISCLAIMER OF DAMAGES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, or special damages
  • Consequential or punitive damages
  • Lost profits or revenue
  • Loss of data or content
  • Business interruption
  • Loss of goodwill or reputation
  • Cost of substitute services

LIABILITY CAP

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

  • Amount you paid us in the 12 months before the claim, OR
  • One hundred dollars ($100) USD

ESSENTIAL BASIS

These limitations are fundamental to our agreement. We wouldn't provide the Service without them.

EXCEPTIONS

Some jurisdictions don't allow certain limitations. Where prohibited:

  • Limitations may not apply to you
  • Our liability is limited to the maximum extent permitted
  • Nothing limits liability for fraud or intentional misconduct

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Globeriz Inc. and its officers, directors, employees, agents, licensors, and suppliers ("Company Parties") from and against ALL claims, losses, expenses, damages, and costs (including attorneys' fees) resulting from:

  • Your violation of these Terms
  • Your violation of any rights of others
  • Your use of Modify
  • Your content
  • Your violation of laws or regulations
  • Claims that your content infringes rights
  • Any damage you cause to others
  • Your unauthorized use of others' content

This indemnification:

  • Survives termination of these Terms
  • Includes duty to defend at your expense
  • Applies even if we contributed to damages
  • Is in addition to other remedies

13. RELEASE

To the fullest extent permitted by law, you release Company Parties from ALL claims, demands, and damages (actual and consequential) of every kind, known and unknown, arising from:

  • Disputes with other users
  • Acts of third parties
  • Your use of Modify
  • Content you encounter

You waive California Civil Code §1542 and similar laws that preserve unknown claims.

14. COPYRIGHT INFRINGEMENT (DMCA)

Reporting Infringement

If you believe content infringes your copyright, submit a DMCA notice containing:

  • Your physical or electronic signature
  • Identification of the copyrighted work
  • Identification of the infringing material
  • Your contact information
  • Statement of good faith belief
  • Statement of accuracy under penalty of perjury
  • Authorization to act on copyright owner's behalf

Copyright Agent

Counter-Notice

If your content was removed mistakenly, you may submit a counter-notice with:

False Claims

Knowingly false claims may result in liability for damages.

15. TERMINATION

Termination by You

You may terminate by:

  • Deleting the app
  • Cancelling subscriptions
  • Deleting your account
  • Ceasing all use

Termination by Us

We may suspend or terminate your access immediately if you:

  • Violate these Terms
  • Engage in fraudulent activity
  • Abuse the Service
  • Fail to pay fees
  • Engage in harmful conduct
  • As required by law

Effects of Termination

Upon termination:

  • Access ends immediately
  • Credits are forfeited (no refunds)
  • Content may be deleted
  • You remain liable for obligations
  • Surviving provisions continue

  • Office of Foreign Assets Control (OFAC) sanctions
  • International Traffic in Arms Regulations (ITAR)

18. ELECTRONIC COMMUNICATIONS

By using Modify, you consent to:

  • Receiving electronic communications
  • Electronic signatures and contracts
  • Electronic notices satisfying writing requirements
  • Email as valid notice method

You may opt out of:

  • Marketing emails (via unsubscribe)
  • Push notifications (via device settings)

You cannot opt out of:

  • Service-related communications
  • Legal notices
  • Security alerts

19. DISPUTE RESOLUTION; BINDING ARBITRATION

Binding Arbitration

If informal resolution fails, ALL DISPUTES will be resolved through BINDING ARBITRATION, except:

  • Small claims court matters
  • Injunctions for IP violations

CLASS ACTION WAIVER

YOU WAIVE ALL RIGHTS TO:

  • Jury trials
  • Class actions
  • Representative actions
  • Class arbitrations
  • Consolidated proceedings

ALL DISPUTES MUST BE BROUGHT INDIVIDUALLY

Arbitration Process

Relationship

Nothing creates agency, partnership, or employment between us.

Notices to us must be sent to contact@globeriz.com. Notices to you will be sent to your registered email.

California Residents

European Union/EEA/UK

  • Nothing affects statutory consumer rights
  • 14-day withdrawal right may apply (see Refund Policy)
  • GDPR rights detailed in Privacy Policy

iOS Users

Additional terms apply when using Modify on Apple devices:

  • Apple is not party to these Terms
  • Apple has no support obligations
  • Claims should be directed to us, not Apple
  • Apple is third-party beneficiary with right to enforce

DETAILED iOS TERMS:

Acknowledgement. You acknowledge that these Terms are concluded solely between you and us, not with Apple, and we, not Apple, are solely responsible for the App and the content thereof. You further acknowledge that the usage rules for the App are subject to any additional restrictions set forth in the usage rules for the Apple App Store terms of service as of the date you download the App, and in the event of any conflict, the usage rules in the Apple App Store shall govern if they are more restrictive. You acknowledge and agree that you have had the opportunity to review the Apple usage rules.

Scope of License. The license granted to you is limited to a non-transferable license to use the App on any iPhone, iPod touch or iPad that you own or control as permitted by the Apple usage rules set forth in the Apple App Store terms of service.

Maintenance and Support. You and we acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

Warranty. You acknowledge that Apple is not responsible for any product warranties, whether express or implied by law, with respect to the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, paid to Apple for the App by you; and to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App. You and the Company acknowledge that to the extent that there are any applicable warranties, any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any such applicable warranty would be the sole responsibility of the Company. However, you understand and agree that in accordance with these Terms, the Company has disclaimed all warranties of any kind with respect to the App, and therefore, there are no warranties applicable to the App.

Product Claims. You and the Company acknowledge that as between Apple and the Company, the Company, not Apple, is responsible for addressing any claims relating to the App or your possession and/or use of the App, including, but not limited to (i) product liability claims, (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement, and (iii) claims arising under consumer protection or similar legislation.

Intellectual Property Rights. You and the Company acknowledge that, in the event of any third party claim that the App or your possession and use of the App infringe third party's intellectual property rights, the Company, and not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required under these Terms.

Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted persons.

Developer Contact Details. Any questions, complaints or claims with respect to the App should be directed to contact@globeriz.com

Third-Party Terms of Agreement. You agree to comply with any applicable third-party terms when using the App.

Third-Party Beneficiary. You and the Company acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

Android Users

Google Play Store terms also apply when using Modify on Android devices.

23. ACKNOWLEDGMENTS AND AGREEMENTS

By using Modify, you acknowledge that:
